The Houston Yard

Ground to park on, behind a gate

Our second Texas yard is in Houston, and it exists for the operators who run with us. Gated ground to leave a tractor, a trailer, and your equipment between loads, with our own diesel mechanics on site.

Gated ground, room to maneuver.

Parking is a standing cost for an independent operator. Lots fill up, street parking invites tickets and worse, and an open yard is one you think about all weekend. The Houston yard is fenced and gated, lit after dark, and wide enough to pull a full combination out in the morning without a twenty-minute shuffle.

Non-Circumvent & Non-Disclosure Agreement

This Non-Circumvent and Non-Disclosure Agreement ("Agreement") is entered into between Eazy Trans, LLC ("Company") and the undersigned contractor ("Contractor"). In consideration of the business relationship between the parties, Contractor agrees as follows:

1. Confidential Information. Contractor shall hold in strict confidence all customer lists, shipper and consignee identities, pricing, rates, lane information, and other proprietary business information disclosed by Company.

2. Non-Circumvent. Contractor shall not, directly or indirectly, contact, solicit, or transact with any shipper, customer, or business contact introduced by Company for the purpose of circumventing Company, for a period of thirty-six (36) months following the last load hauled under this Agreement.

3. Term. The obligations of this Agreement remain in effect for thirty-six (36) months from the date of execution or the last transaction between the parties, whichever is later.

4. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.

5. Remedies. Contractor acknowledges that any breach may cause irreparable harm for which monetary damages are inadequate, and that Company shall be entitled to injunctive relief in addition to any other remedies at law.

Renewable Trucking Agreement

This Renewable Trucking Agreement ("Agreement") is entered into between Eazy Trans, LLC ("Broker/Carrier") and the undersigned independent hauler ("Hauler").

1. Independent Contractor. Hauler operates as an independent contractor and not as an employee, agent, or partner of Eazy Trans, LLC.

2. Insurance. Hauler shall maintain, at Hauler's expense, commercial automobile liability insurance of not less than $1,000,000 combined single limit, together with workers' compensation coverage as required by law. Hauler shall name Eazy Trans, LLC as an additional insured and provide a certificate of insurance prior to performing any services.

3. Indemnification. Hauler shall defend, indemnify, and hold harmless Eazy Trans, LLC from and against any claims, damages, losses, or expenses arising out of Hauler's performance, negligence, or breach of this Agreement.

4. Compliance. Hauler shall comply with all applicable federal, state, and local laws and DOT/FMCSA regulations, and shall maintain all required licenses, permits, and inspections.

5. Term & Renewal. This Agreement renews automatically for successive terms unless terminated by either party in accordance with its terms.

Authorization

This authorizes Eazy Trans, LLC (the “Company”) to send credit entries (and appropriate debit and adjustment entries), electronically or by any other commercially accepted method, to my (our) account(s) indicated above and to other accounts I (we) identify in the future (the “Account”). Summary

Background & Safety-Performance Investigation Authorization

I understand that contractors operating commercial motor vehicles for Eazy Trans, LLC are subject to driver-qualification requirements under U.S. DOT / FMCSA regulations. I authorize Eazy Trans, LLC and its designated agents to obtain my motor-vehicle record (MVR), PSP report, and safety-performance history, including inquiries to prior DOT-regulated carriers as required under 49 CFR Part 391.23, and I release those parties from liability for providing such information.
